Gibraltar Companies Act 2014

On 1st November 2014 the Companies Act 2014 came into force in Gibraltar. The new Act is a replacement for the Companies Act 1930.

Gibraltar Registry Filing Requirements

All Gibraltar companies are required to file their Annual Accounts within 12 months of their year end. Documents to be filed at the Company’s Registry vary according to their classification, being either micro, small, medium-sized or large.

An Annual Return is also filed each year with the Registrar of Companies to confirm the current structure and status of the company. The Annual Return states the current registered office, directors, shareholders, secretaries, authorised and issued share capital, activity of the company, number of employees, and details of any charges registered against the company.

Gibraltar Gazette

The Gibraltar Administration Office & Gazette team work in conjunction with the Crown Counsel for the publication of legislation and government notices in the Gibraltar Gazette.

Under section 411, the Registrar has the power to strike from the Register of Companies any Gibraltar company that has not filed annual returns in the previous three calendar years. The name of any Gibraltar company to be struck off under section 411 will be published in the 7th Supplement to the Gibraltar Gazette.
