Seychelles Financial Services Authority

The Seychelles Financial Services Authority is the regulator for non-banking financial services in the Seychelles. The FSA are responsible for the registration of International Business Companies.

Seychelles Company Search Report

We can provide a company search report on companies registered under the International Business Companies Act, this includes the following information:

• Company Name
• Company Registration Number
• Date of Incorporation
• Current Legal Status: Good Standing or Struck Off
• Authorised Share Capital
• The search report includes an extract from the Seychelles Financial Services Authority issued under the IBC Act 2016, confirming the latest details and company status
• Number of outstanding charges registered by the company
• Number of satisfied and discharged registered charges
• Date and description of any mortgage or charge registered
• Copy of the register of charges – If the company has charges filed at the registry this will include the IBC name, IBC role, IBC Address, Date of Registration, Type, Name of other party in the Mortgage/ Charge, Address, Date of Instrument, Amount Secured, Description of Assets affected by the instrument, confirmation if discharged

• Last payment date and due date of next annual fees

The Seychelles company search report includes the Certificate of Official Search issued by the Seychelles FSA.

The Register of Directors for Seychelles Companies is held by the  Registry in the Seychelles under the IBC Act 2016, it is not public record.  Therefore no details can be supplied in the company search.

Seychelles Apostilled Company Search Extract

Seychelles Company Records

The Seychelles Registry is required to hold companies Memorandum of Association and Articles of Association, together with any amendments. Company records are also kept by the agents at the companies registered office in the Seychelles. Company books and records must be kept  but these do not have to be filed at the Seychelles Registry.  The Registrar must be notified of the address where the company’s records are kept.

A Register of Directors for Seychelles Companies has to be filed with the Registrar of International Business Companies in Seychelles as per requirements of the IBC Act 2016, this is usually selected to be kept private. Penalties are applicable for delays in submission of the Register for filing with the Registrar. The register of directors will not be publicly available.

Seychelles Certificate of Good Standing

We can supply a Certificate of Good Standing from the Seychelles Financial Services Authority.

The certificate of Good Standing certifies the follow points:

• The Company has been duly incorporated under the International Business Companies Act 2016
• No proceedings have instituted to strike the name of the company of the said Register
• The Company is still on the Register of the International Business Companies and that the Company has paid all licence fees and penalties due, payable under the provision of the International Business Act 2016
• The Company has not submitted, to the Registrar, an Article of Merger or Consolidation that have not yet become effective
• The Company has not submitted, to the Registrar, an Article of arrangement that have not yet become effective
• The Company is not in the process of being wound-up or dissolved
• In so far as is evidenced by the documents filed with the Registrar, the company is in good legal standing

The certificate is provided from the Seychelles FSA  with an official seal, stamp and the registrars signature

Under the Seychelles IBC Act should there be a request for a good standing certificate for a company that is not in good standing, a Certificate of Official search will be provided by the Seychelles FSA in lieu.

Seychelles Company Restoration

Where a Seychelles company has been Struck-Off by the Registrar a director or shareholder of the company can make an application for the restoration of the company.

To restore the company all outstanding annual license fees and penalties would have to be paid, and any outstanding filings submitted. Once restored we can request from the Registrar a Certificate of Good Standing for the Seychelles IBC.

Seychelles Memorandum of Association
