Seychelles Financial Services Authority was established under the Seychelles International Business Authority Act. Its functions is the licensing and regulation of the primary offshore business activities, Registrar for International Business Companies, Trusts and Limited Partnerships.
The Seychelles Financial Services Authority is also the regulator for non-bank financial services in the Seychelles. Established under the Financial Services Authority Act, 2013, the Authority is responsible for the licensing, supervision and development of the non-bank financial services industry of the Seychelles.

International Business Companies Act 1994
The International Business Companies Act 1994 governs the operations of Seychelles offshore companies.
Seychelles Company Names
All company names for Seychelles IBC’s must be approved by the Seychelles Authority. Upon the approval of a proposed company name by the Registrar, the name can be reserved for a period of 7 days from the date of approval.
A Seychelles IBC name must end in an approved suffix to denote limited liability: including Limited, Ltd, Corporation, Corp., Incorporated, Inc., Société Anonyme, S.A., N.V., Namloze Vennootschap or appropriate abbreviations.
Maintaining Seychelles Company Records
A Seychelles company is required to file its Memorandum of Association and Articles of Association, together with any amendments. A company is not required to file its Register of Directors or Register of Shareholders with the registry, these registers are kept by the company at the Registered Office and not available for public inspection.
Law and Taxation
Seychelles IBC’s are exempt from taxation on business activities or transactions conducted outside the Seychelles.
Seychelles Registry Filing Requirements
A company is required within 30 days of any change in the content of its Register of Directors, file for registration by the Registrar a copy of its updated Register of Directors containing the relevant changes under (section 152(2) of the Companies Act).
An IBC which is on the Register shall pay to the Registrar, on or before the annual anniversary date of its incorporation, continuation or conversion under the Act the annual fee.
A Seychelles company must file with the Registrar an Annual Return accompanied by the documents to be annexed as required under the Companies Act.
