Extract of the Commercial Register – Certificate of Good Standing Equivalent

We provide the closest equivalent to a Certificate of Good Standing in Switzerland: a certified company extract from the Federal Commercial Registry. This document confirms the current company details and is issued by the Federal Commercial Registry, complete with an official stamp, seal, and the signature of an authorised officer.

A company is considered to be in good standing if the extract contains no reference to liquidation, bankruptcy, loss of domicile, or the absence of directors or auditors.

Public Information

Upon incorporation director and shareholder registers must be filed at the Commercial Registry, but are not available for public inspection. Furthermore, these registers do not have to be kept up to date with any subsequent changes to company directors or registers.

Swiss Company Financial Statements

Generally, companies incorporated in Switzerland are not required to file annual financial statements. The exception to this is for certain types of company, such as banks, finance institutions, publicly traded companies. For these companies the financial statements must be filed within six months following the end of the reporting period.
