Portugal Certificate of Incorporation

The Portugal Certificate of Incorporation is issued by the Portugal companies registry when a Portugal company is incorporated, we can provide a registry copy of a Portugal company incorporation certificate which includes the company name, company number, date of incorporation and states that a company is registered. In Portugal we can supply an electronic certificate with the company registration details and details of the filings made by the company.

Portugal Certificate of Good Standing

In Portugal, companies are registered by the Companies Registry. Unfortunately, they don’t issue Certificates of Good Standing but, it is possible to obtain a Permanent Certificate. This is an electronic certificate with a unique access code, the document can then be verified and viewed for a year after issue on the registry website. This certificate can be provided in English and includes the registration details and filed updates at the registry. The Permanent Certificate includes the following details: NIPC/ Registration number, Company Name, Legal Status/ Company Type, Objects of the Company, Share Capital, Classification of Economic Activities number, financial year end, Management name, ID number and position held, registered office address, List and details of recent filings by the company.

Memorandum of Association

The Memorandum of Association will be published in the official gazette Diário da República. The Conservatória do Registo Comercial which will also ensure the final registration with the RNPC and its publication in a national newspaper. Lastly the company will be registered at the Department for Trade & Competition or at the corresponding Regional Directorate of the Ministry of Economy.

Private Limited Company (Lda) Quotas

Members of a Sociedade por Quotas – Lda have quotas, rather than shares, and the quotas are described in the Articles of Association. Quotas can be transferred only by public deed. An Lda requires in general two shareholders, however the incorporating of private limited companies with a single shareholder is also permitted.

Main features:

  • There are no restrictions on the percentage of foreign ownership allowed in a Portuguese company
  • A company can be formed by a single person who can be both the sole director and the sole shareholder. If this is the case, the company needs to include the word ‘unipessoal’ in its title.
