Liberia International Ship & Corporate Registry – LISCR

The Liberian International Ship & Corporate Registry administers the Liberian Corporate Registry and also provides the registered agent service for all Liberian non-resident corporate entities.

The LISCR is responsible for the incorporation of companies in the Republic of Liberia alongside holding information on existing companies.

Company Search Report

We can conduct a company search at the LISCR on any non-resident Liberia registered company.

A Liberia Company Search contains the same information as the Certificate of Good Standing giving the details of  existence and current status of Liberian non-resident company and will confirm:

• The name of the company
• The date of registration/incorporation
• The company registration number
• The name and address of the Registered Agent
• That Liberian entity remains in Good Standing

Information regarding beneficial ownership, share capital or shareholders does not need to be disclosed to the Liberian authorities so it is not included in a Liberia company search report.

Establishing the existence of a Liberian company and obtaining copies of company documents held at the Liberian International Ship and Corporate Registry may be required for:

 Certificate of Good Standing

We can supply a Certificate of Good Standing from the Liberian International Ship and Corporate Registry certifying the Liberian Company’s existence and current status of Liberian non-resident corporate entities.

A Certificate of Good standing will confirm:

• The name of the Liberian corporation
• The company registration number
• The date of incorporation/ registration
• The company remains a corporation duly registered and has paid all taxes and fees due and payable
• The company has not submitted Articles of Merger, Consolidation, Conversion, Re-domiciliation or Dissolution
• The company is not subject to proceedings for judicial dissolution under the Liberia Business Corporation Act
• The company is not the subject of a Proclamation of Revocation
• The name and address of the Registered Agent in Liberia

The certificate is provided from the Liberian International Ship and Corporate Registry with an official stamp, seal and with the signature of an authorised officer.

Liberia Certificate of Incorporation

We can provide a registry certified copy of the Certificate of Incorporation for a Liberian company. The certificate confirms the date the Liberian company was incorporated and commenced legal existence as a Liberia non-resident corporation upon filing the Articles of Incorporation endorsed in accordance with Section 4.7 of the Business Corporations Act.

We can provide a Certificate of Incorporation for any company registered with the Liberian Corporate Registry. The Registrar issues a copy or a certified copy Certificate of Incorporation certifying that the Liberian company was incorporated under the Business Corporations Act.

The Certificate shows the following

• Company Name
• Date of Incorporation
• Company Number
• Companies Act

The Liberian Corporate Registry issue the Certified Certificate of Incorporation and a scanned copy is emailed.  The original is couriered through if ordered.

Articles of Incorporation

The Articles of Incorporation are a statutory document filed at the Liberian International Ship and Corporate Registry when an Corporation is incorporated in Liberia.

We can provide a certified copy of the Articles of Incorporation in accordance with Section 1.5 of the Business Corporation Act, stating they are a true and complete copy of the Articles of Incorporation filed when the Liberian company was incorporated.

Liberia Public Records

In Liberia company information regarding beneficial ownership, share capital or shareholders does not need to be disclosed to the authorities, however, voluntary filings are permitted. Liberian Corporations must maintain books of account, minutes and records of shareholders in accordance with Section 8.1 of the Associations Law.

Filing of Annual Accounts and Annual Returns – Liberia

Liberian companies are not required to file information regarding share capital, shareholders, directors or annual accounts. They may however voluntarily choose to file this company information with the Companies Registry.

Liberian non-resident corporations are not required to make any mandatory filings of Board Minutes, Share Registers, Registers of Officers and Directors, or financial information

There is no statutory requirement to file the names of Managers or Shareholders of a Liberian Limited Liability Company with the public Registry.

However, a Limited Liability Company may voluntarily file this information by filing a Certificate with the Liberian International Ship and Corporate Registry. All documents must be filed in the English language (or accompanied by a certified translation) and be properly executed by a Liberian consul or Special Agent of the Bureau of Maritime Affairs.
