Argentina Company Financial Statements

Companies incorporated in Argentina must produce annual financial statements within three months of the year end. These statements must include a balance sheet, income statement, statement of changes to equity and statement of sources and application of funds.

It should be signed by the directors, approved at the shareholders meeting and filed with the Registro Publico de Comercio. The accounting books must have the seal of the Registro Publico de Comercio.

Annual Return

All companies in Argentina must lodge an annual return with the Registro Publico de Comercio that includes information such as director details, shareholder details, share structure, registered address and principle business activities.

Argentina Certificate of Incorporation

The Certificate of Incorporation is issued by the Argentina companies registry and we can provide a registry copy of the company incorporation certificate which includes the company name, company number, date of incorporation and states that a company is incorporated under the relevant companies acts.

Memorandum and Articles of Association

Argentina Company Formation

Argentina Company Name

Private Limited Company in Argentina, the “Sociedad de Responsabilidad Limitada”, or just “S.R.L.”, equivalent to the “Ltd” and “LLC” (Limited Liability Company).

Company Directors & Shareholders

Only one director is required and may be of any nationality and do not need to reside in Argentina.

A minimum of two shareholders of any nationality are required.

Share Capital

Under Argentine law, Decree 1331/2012  requires a minimum of AR$100.000 for an SA incorporation. The share capital must be fully subscribed upon incorporation. There is no minimum share capital requirement for an SRL incorporation.
