Puerto Rico Certificate of Good Standing – Certificate of Existence
We can supply a Certificate of Good Standing/ Certificate of Existence from the Puerto Rico Department of State which confirms a company’s existence, authority to transact business in the State and that it has a Status of Good Standing.
The Certificate of Good Standing will be required when you want to register your Puerto Rico LLC or Corp to do business elsewhere and to show to your bankers. As stated in chapter 15 of Act. No. 164-2009, General Corporations Act, corporations must file an annual report to the Registry of Corporations administered by the Department of State of the Government of Puerto Rico each year.
To obtain a Certificate of Good Standing the company must be compliant with all filed annual reports must be filed with the Puerto Rico Department of State.

The Certificate includes the following:
- Registered Company Name
- Company Registration Number
- Date of Incorporation
- Business Type – LLC or Corporation
- The Certificate of Good Standing Validation Number
- That the Puerto Rico company has not filed articles of dissolution, certificate of cancellation or similar documents
- The Puerto Rico Certificate of Good Standing is electronically signed, stamped and dated by the Secretary of State under seal
Validate Certificate of Good Standing
The Certificate of Good Standing can be validated until its expiration date which is 1 year from issue date.The expiration date is on the certificate with the validation number. When the certificate is found the screen will display the certificate’s information.

Company Not in Good Standing
If the Puerto Rico company is not in Good Standing the certificate cannot be issued until fees are paid and any missing annual reports are filed. If the Certificate of Good Standing cannot be provided because of the Company Status we will instead provide a Company Search Report.

In addition to the Good Standing Certificate we can provide a copy of the company search report which is a summary of the latest information on the company held by the Corporations Section at the Puerto Rico Department of State.

A Puerto Rico company complying with the annual report filing or annual payment when due will result in the imposition of penalties, and if done for certain consecutive years it will result the cancellation of the company’s authorisation to do business in Puerto Rico.
