We have ready made Sociedad Limitada (SL) that have never traded and are in Good Standing, incorporated between 2017/2020.

Ready Made Features

  • Our ready made companies are registered with the Central Mercantile Register and incorporated in compliance with Corporate Enterprises Act (Ley De Sociedades De Capital)
  • Our Spanish ready made companies are Sociedad Limitada (SL)
  • The company name can be changed on the day of purchase
  • Changes in the activities of the company can be made at the same time as the change in directors, simply by changing the objects of the company in the company statutes
  • A company bank account which can be accessed through internet banking – a visit to Spain is required.

Ready Made Limitada (SL)

  • Our ready made SL companies can have a registered office in  Barcelona or Madrid
  • Only 1 director of any nationality is necessary for your company
  • Only 1 shareholder is required
  • Shareholders may be of any nationality and can be either corporations or individuals

Ready Made Procedure

Non-Spanish residents who are becoming directors or shareholders are required to have an NIE number, before signing the appointment and resignation of director deed

The company shareholders require a Número de Identificación Fiscal (NIF) and a Código de Identificación Fiscal (CIF) number

  • You may decide to change the name and registered office address and the company statutes, our notary can prepare an amendment to change these
  • A meeting takes place at the notary’s office where we cease to be the shareholder and officer and you are appointed, the shares are transferred and changed in the statute
  • We then register the new statute changes at the Mercantile Registry
  • You will need to sign a deed in the notary’s office which confirms our resignation as the previous director and appoints yourself as the new director
  • You need to sign a deed for the share capital with the notary or alternatively can sign a Power of Attorney so that we are able to sign the deed for you
  • The company can start trading immediately after the transfer of ownership in front of a notary. You do not need to wait until documents have been lodged with the Registry

As with new companies, your activity will be registered with the tax authorities once the deeds have been returned from the Registry.

  • Informing the tax authorities, stating the change of ownership and registering for VAT and Corporation Tax
  • Registering the new directors for tax, if this is their first registration in Spain
