You should be able to visit Morocco to complete the incorporation by signing the statutes and depositing the share capital in a bank. Paying the Stamp Duty and lodging documents is done in the municipal building of the town where the company is incorporated, and while doing this the founders of the company are identified for official purposes.

We can assist on an incorporation, where the founders are not able to visit: as papers and powers of attorney can be signed a Moroccan consulate overseas.

A bank account must be opened prior to the incorporation to show that share capital of the Sarl has been deposited - The minimum share capital is 10,000MAD (€900).

Steps in the incorporation

  • Obtain a Certificat Negatif from the Office Marocain de la Propriété Industrielle et Commerciale
  • Drafting the Articles of Association / Statutes and signing these with the notary public
  • Legalise statutes at Mayor's office in the town of the Registered Office

Forming a company in Morocco

We obtain the right to use the company name with a "Certificat Negatif" from the Central Registry of Commerce "Registre Central du Commerce " or the local branch of the Ministry of Trade and Industry.

The signatures of the shareholders need to be legalised with the Department of Legalisation in the municipal and local offices attached to the towns or "communes urbaines" or with a Moroccan Consulate abroad.

The Deed will then be deposited in the Register of Commerce, which is a service attached to the secretariat of the Commercial Court in the Province where the Registered Office is.

Legal Publicity for the New Company

We will publish data on the constitution in the legal notices section of a newspaper in the province of incorporation and in the Official Gazette.

The advertising will include:

Tax Registration

A Declaration of Existence of the Company has to be lodged with the Tax Office, and the company must be registered with the Registry of Patents and a small tax will be paid.

A statement informing the "Direction des Impôts", with the Ministry of Finance and External Investment has to be lodged, stating that the company is about to have a commercial activity.

Morocco Company Name

Company Incorporation Documents
