Ireland Company Search

The search report is a summary of the latest information on the company held by the Companies Registration Office.

In Ireland companies have a legal obligation to provide the Companies Registration Office with up to date information, this includes the filing of an annual return.

The annual return includes a list of directors and details of the company secretary at the date of the return together shareholders' details and any share transfers since the previously filed return and the registered office address.

Ireland Letter of Status/Good Standing

A Letter of Good Standing is an official document, issued by the Irish Companies Registration Office, which confirms that the company is filed and up to date.

The letter is provided from the Companies Registration Office and certified by the Registrar with an official stamp, seal and with the signature of an authorised officer.

Attached to the Letter of Good Standing will be a printout from the registry listing the following details:

  • Company Name
  • Company Registration Number
  • Date of Incorporation
  • Type of Company
  • Registered Office Address
  • Date of Last Annual Return filed
  • Name and address of directors
  • Name and address of secretary
  • List of recent documents filed

Ireland Certificate of Good Standing

Ireland Company Constitution

The Constitution sets out the objects and the powers of a company. They are mandatory documents filed with the Companies Registration Office when, a limited company is incorporated in Ireland. We are able to provide registry certified copies of the target company's Constitution. The Constitution was previously called Memorandum and Articles of Association.

Mortgages and Charges

The registration of mortgages and charges is governed by the Irish the Companies Act 2014, certain mortgages and charges created by a company must be filed with the Companies Registration Office. When the Companies Registration Office is satisfied that the statutory requirements are met, a certificate of charge is issued which is evidence that the requirements of The Companies Act 2014 have been complied with.

We can provide mortgage documents from the companies registry on Irish companies.

We check with the Irish registry and advise how many mortgages are registered against the company and how many have been satisfied and are outstanding.

We can then provide a list of all mortgages and charges registered at the Companies Registration Office against a company, which includes the date registered and date satisfied.

A Mortgage profile can be ordered giving the full details of each charge or mortgage from the list which, is of interest.

Ireland Annual Return

We can provide scanned copies of the most recent Annual Return filed by an Irish company and historical copies of older annual returns. These are delivered by email the same day but can take longer on older archived copies of annual returns.

The annual return is a statutory form companies need to file with the Companies Registration Office, it is a requirement under the Irish Companies Act 2014.

This Annual Return document includes the following information:

  • Registered Office Address
  • Issued Share Capital
  • List of Directors - particulars of Directors of the Limited company on the date of the Annual Return. Including full name, nationality, country of origin, residential address, business occupation and other directorships
  • List of Shareholders
  • Company Secretary - particulars of Secretaries of the company. Including full name and residential address. In the case of the company secretary being a corporate body the name and corporate office address
  • Summary of the Authorised Share Capital and Shares including the nominal Share Capital and number of and the value the shares are divided into and the Issued Share Capital

The Annual Return is signed by a director and secretary of the Irish company.

Directors' Report & Accounts

Company accounts filed at the Companies Registration Office vary according to the classification of the Irish company. The filing of accounts companies are classified as small, medium or large.

An Irish company must meet two of the three parameters for two consecutive years in order to be classified in a certain category.

Apostille - Authenticating and Legalising documents

We can supply Irish company documents legalised by the Department of Foreign Affairs and Trade which authenticates documents executed in Ireland for use in other countries.

Authenticating a document means verifying the signature of the authorised person and/or the seal or stamp it bears. The apostille or legalisation certificate attached to the document.

An apostille involves the addition of a certificate stamped on the document itself or attached to the document, confirms that the signature on the document is genuine and certifies:

  • The country of origin of the document
  • The name and identity of the signature
  • Capacity in which a document has been signed
  • The name of any authority which has affixed a seal or stamp to the document

  • Date
  • Number
  • Official seal

The apostille enables the presenter to bypass further certification and immediately send or take the documents to the country of intended use.
