We can provide certified copies of Sweden company documents held at the company register, an Apostille service can also be provided on certified copies of Sweden company documents issued by the Companies Registration Office.

Public Information

The majority of information on Swedish companies held at the Bolagsverket is considered public information - this includes financial statements, shareholder/director registers and other accounting and reporting documentation.

Financial Statements

A Swedish private limited company (AB company) must produce and submit a financial statement, along with the auditor's report, to the Bolagsverket. The financial statements must consist of a balance sheet, income statements and director's notes. The financial statements must be in Swedish and in SEK or €.

The financial statement must be filed with the Bolagsverket within seven months from the company's year end.

Directors Report

In Sweden the directors of a company must produce directors reports, that give an overview of the company and its most significant events. This includes, description of the company's activities, review of business development, board decisions on profit and loss allocation, information and opinion on the company accounts, etc.

Company Registers

Companies in Sweden must keep director and shareholder registers - these contain person details along with the share structure. These registers must be filed with the Bolagsverket, and kept up to date if any changes occur.

General Meetings

The shareholders' meeting should be held at a time and place that enables the highest possible percentage of shareholders to attend, and the company is to allow the option for shareholders to participate in the meeting from any location (in Sweden or abroad) using electronic communications, i.e. telephone or video conference.


If a company in Sweden has more than three employees then it requires an auditor who must be an authorised public accountant.

Annual Return

All limited companies in Sweden must draw up annual reports, annual accounts and file them with Bolagsverket every year.

In Sweden a limited company must file its annual report to Bolagsverket within seven months from the company’s financial year-end.

Certificate of Registration

The Certificate of Registration is issued by the Bolagsverket upon incorporation, we can provide a registry copy which is in Swedish or English.

The company registration certificate includes the company name, registration number, date of registration, the address of the company, representatives, signatories and business description. Registration certificate is created with the current date. The Registration Certificate can be provided in English for limited liability companies.

The certificates of Registration are provided with Bolagsverket’s official seal and stamp, with an administrator’s signature.

An e-certificate of Registration can be provided in English without the seal, stamp and signature, this is sent by email.

Sweden Certificate of Good Standing

We can supply a Certificate of Good Standing from the Swedish Bolagsverket certifying that the Swedish company is in Good Standing.

A Swedish Certificate of Good Standing states that:

  • the company is not in bankruptcy
  • the company is not in liquidation
  • the company is not involved in a merger
  • that the company has a competent board of directors
  • The company's annual report has been filed with Bolagsverket

The certificate is provided in English with Bolagsverket’s official seal and stamp, and with an administrator’s signature.

The certificates of Good Standing is always delivered by post from the Bolagsverket.

Memorandum of Association

The Memorandum of Association includes, the company name, registered office, business activities, share capital the company is authorised to issue, objects and powers of the Swedish company.

We can provide a copy of the Memorandum of Association which are in Swedish, in addition we can provide a certificate in English, which states when the company was formed and registered. The certificate is provided with the Memorandum of Association and features Bolagsverket’s official seal and stamp, and an administrator’s signature.

Articles of Association

Company Articles of Association are a statutory company document which form the company's constitution and internal rules under which the Sweden company will be run. We can provide a copy of the Articles of Association which, are in Swedish and in additional we can provide a certificate in English which states:

  • The articles are current
  • When they have been adopted
  • When they have been registered

The additional English certificate is provided with Bolagsverket’s official seal and stamp, and the administrator’s signature.

Sweden Company Credit Reports

With a Sweden Company Credit Report we conduct an investigation on the target company, include the latest information on the company held by the Companies Registry and credit recommendations are included, where financial data has been analysed.

Filing Requirements

All limited companies in Sweden must file an annual report with the Bolagsverket every year.

Annual Report - Director's Report & Accounts

In Sweden a limited company must file its annual report to Bolagsverket within seven months from the company’s financial year-end.

The annual report for limited companies must include the following:

  • Profit-and-loss account/Resultaträkning - Small companies may prepare the balance sheet and the profit and loss statement in an abbreviated form in the annual report.
  • Balance sheet/Balansräkning - A balance sheet is a summary of a limited company’s assets, equity, provisions, allocations and liabilities on the last day of its financial year.
  • Notes/noter
  • A directors’ report/Förvaltningsberättelse

The directors’ report describes a limited company’s most significant events, which have taken place during its past financial year and must always contain:

  • Description of the company’s field of activities
  • Review of the development of the company’s business activities, financial position and performance
  • Board’s proposal for the profit or loss allocation
  • Information considered important for the assessment of the company’s financial position and performance that has not been accounted for in the profit and loss account, the balance sheet or the notes
  • Depending on size and type of company the directors’ report may include information such as net turnover and assets ratio

A limited company may choose to have its accounting currency in SEK or in Euro, the accounting currency must be stated in the Articles of Association. The annual reports are only available in Swedish.
