Ministry of Industry, Commerce and Technology

The Companies Office of Jamaica falls under the Ministry of Industry, Commerce and Technology and is responsible for overseeing all companies that are registered in Jamaica. This is the central agency where all accounting and reporting documents produced by companies must be submitted.

General Meetings

A company registered in Jamaica is obliged to hold an annual general meeting each year, with the first meeting being held within 18 months of incorporation and another not being required for the year of incorporation or the following year. Thereafter a meeting must be held each year, with no more than 15 months elapsing between meeting dates.

Accounting and Reporting

Companies registered in Jamaica are required to produce financial statements in accordance with generally accepted accounting principles (GAAP). In Jamaica there are standard accounting and reporting standards which include filing an annual return signed by a director, preparing accounts, balance sheet and the profit and loss account. These document must be laid before the company and its members in the general meetings. All Non-Profit companies (companies limited by guarantee not having a share capital) are required to file Income & Expenditure Statements. All public and overseas companies are required to file Financial statements. Private companies with individuals as shareholders are not required to file Financial statements. Private companies with body corporate as shareholders who are required to file Financial statements, must file annual Financial statements.


All small companies may claim exemption under the Companies Act that means they are not obliged to prepare financial statements or appoint an auditor.

Annual Returns

In Jamaica Annual Returns must be filed for a company with the Companies Office because the Annual returns are important in identifying changes in the ownership or management structure of a company during the period for which the return is made and returns are also important in identifying changes in the value of shares and share transactions during the period for which the return is made. As long as the company has not been removed from the register of companies, annual returns must be filed.
