The Chamber of Commerce in Aruba is by law responsible for administering and supervising the Commercial Register and the Foundations Register. The Chamber of Commerce in Aruba reports to the Minister of Economic Affairs.

Aruba Company Search Report - Timescale

The company search report will be ordered from the Aruba Chamber of Commerce and Industry and is delivered by email in 2- 5 days.

Aruba Certificate of Good Standing/Declaration of Good Standing

A company which is registered with the Aruba registry, is said to be in good standing if it has filed and continued to file all statutory filings and paid all annual fees. We can provide a Declaration of Good Standing issued by the Chamber of Commerce and Industry.The Aruba Chamber can provide the Declarations of Good Standing upon request in Dutch, English or Spanish

AVV - Aruba Vrijgestelde Vennootschap

The Aruba Exempt Corporation has limited liability. The AVV is incorporated by a civil law notary in Aruba who provides the deed of incorporation, after which a certificate of no objection of the Minister of Justice is required on the deed of incorporation and the articles of incorporation.

The AVV is represented by is its managing director(s) and is legally required to be represented at all times by at least one legal representative. The legal representative is not a managing director and is a NV established and located in Aruba, whose objects include the representation of AVV’s.

All AVV’s, including offshore ones, are obliged to apply for a business license according to the Ordinance on the Establishment of Businesses before initiating their activities.

General Information - AVV

The AVV is exempt from any taxation in Aruba with regard to its income, whatever the nature thereof.

The Aruba Vrijgestelde Vennootschap, Aruba Exempt Corporation, is a corporation with its capital divided into shares and may be compared with the International Business Company of the British Virgin Islands.

  • a AVV only requires one shareholder
  • the AVV must obtain a declaration of no objection from the Minister of Justice on its articles of incorporation
  • the time frame of incorporating the AVV is around five days
  • the capital of an AVV must be at least $6,000 of which at least US$ 1 must be issued
  • the AVV may issue shares that have a par value or without par value. Non-voting shares may also be issued with the condition that at all times one voting share is issued
  • the shareholders are not personally liable for the actions of the AVV
  • the AVV must have its Registered Office in Aruba and must have a Registered Agent in Aruba (Legal Representative) and only a Company in Aruba with a Trust Business License may act as a Registered Agent
  • the preparation of the yearly financial statements can be exempted in the deed of incorporation.
  • An AVV is not required to publish its annual accounts
  • general meetings of shareholders can be held in Aruba or anywhere else in the world
  • the AVV is exempted from any licenses pursuant to the State Ordinance on Businesses and the State Ordinance on foreign exchange transactions
  • the AVV is not allowed to do any kind of business in Aruba
  • The AVV is exempted from profit tax in Aruba

The Memorandum of Association are not public documents so, the Chamber of Commerce cannot provide copies.
