If the Bermuda company is one that continued to Bermuda a Certified Certificate of incorporation is not available but, a Certified Certificate of Continuance can be provided.
We can supply a Certificate of Good Standing/ Certificate of Compliance which is issued by the Ministry of Economic Development and certify's that the Bermuda company is incorporated under the laws of Bermuda on the date issued and is in Good Standing under the Companies Act 1981. If your Bermuda company is not in Compliance, it will not be in Good Standing with the Registrar of Companies. We can assist with restoring your company to the Bermuda register. In order to bring the company into compliance all outstanding fees would have to be paid, annual declarations filed with the registry and a current notice of registered office filed. Every exempted company shall every January submit to the Registrar of Companies a declaration signed on behalf of the company as to the company's principal business and its assessable capital together with the appropriate fee payable. The Memorandum of Association is a company document is retained on file at the Registrar of Companies. The authorised share capital will be set out in the Memorandum together with the names of the initial subscribers for shares in the company, the objects of the company and its powers. If the company moved to Bermuda a copy of the Memorandum of Association is not available, a copy of the Memorandum of Continuance is supplied instead.
The Registrar of Companies can draft a letter confirming a Bermuda company was Struck off and Dissolved off the register. This includes the date the company was dissolved and details of the government notice: No.823 pursuant to section 261 of the Companies Act 1981.
